Third Party Agreements – Terms, Conditions & Policies
LISS (i.e. the subsidiaries and affiliated operating companies of LISS Technologies) provides its clients with certain top-level services, including Managed IT Support, Private Cloud Hosting, Cloud PBX Hosting and Web Design Services (i.e. the “Primary Services referred to in Section 1.1 of the MSA), that consist primarily of professional technology consulting services, such as the provision of advice, set-up and implementation, monitoring and support. In connection with such top-level services, or in some cases as separate items, LISS also provides its clients with products and services, such as computer and network hardware, on-site and cloud-based software, back-up systems, and internet or telephone service, that are obtained from third-party vendors and service providers (i.e. the “Third-Party Products and Services” referred to in Sections 1.1 and 24 of the MSA).
The Primary Services are provided and warranted by LISS in accordance with the terms of the applicable Service Attachments to the MSA.
In general, LISS does not establish the terms for the usage of the Third-Party Products and Services or warrant their performance; instead, the products and services are provided and warranted by the third-party vendor or service provider in accordance with the terms of an End User License Agreement or similar document (“EULA”) published by such third-party vendor or service provider. LISS has assembled the list of links to applicable EULA’s that appears below as a courtesy to its clients and uses its best efforts to maintain the list. Because products and services, as well as the terms on which they are being offered by the third-party vendors and service providers, are constantly evolving, LISS does not warrant that the list or its individual links will be exhaustive, current as of a particular date, or error-free, but if a question arises about the terms on which a particular third-party product or service is being offered, then LISS will make reasonable efforts to assist the client in identifying those terms.
